By agreeing to this form you hereby execute the following terms: LDSSPASH.COM ADVERTISING AGREEMENT I. SERVICES. 1. LDS Splash agrees to, using materials furnished by Client, an interactive fully functional banner advertisement that displays the clients information for placement on one or more of our pages, as specifically set forth in this Agreement. Once the clients advertisement is clicked, it will open into its own NEW window. LDS Splash will display this advertisement on it's web site for the term of the contract specified in this agreement. II. FEES. 1. The client agrees to pay the agreed amount indicated below to LDS Splash. LDS Splash had the right to adjust prices at any time, but once a contract has been made, the prices will not change until the contract has expired. III. OWNERSHIP AND CONFIDENTIALITY 1. Ownership. Client reserves all other rights to their artwork supplied to LDS Splash for advertising use. IV. TERMINATION In the event of termination, on the part of the Client before the agreed term is over, client payment will not be refunded in any portion, but the client will be permitted to submit an alternate graphic and/or website address for substitution. There may be a fee for the substitution depending on the magnitude of the change. In the event that LDS Splash must cancel, moneys will be prorated and refunded according to the percentage of time left before the contract runs out. V. INDEPENDENT CONTRACTOR RELATIONSHIP. LDS Splash shall at all times during the term of this contract be an independent agent. Nothing contained in this contract shall be constituted or create a partnership or any relation of principal and agent or employer and employee between the parties. VI. RESPONSIBILITY OF PARTIES AND INDEMNITY 1. All materials provided by Client are subject to the approval of LDS Splash. LDS Splash shall at all times have the right to reject, or terminate the Client's presentation on the Internet, in whole or in part, of any materials, in their discretion. 2. Rights. Client warrants that it is authorized and entitled to represent the business or product displayed or described in the materials furnished. VIII. OTHER PROVISIONS 1. LDS Splash shall not be responsible for providing Internet access. LDS Splash shall not be responsible for any technical faults of the Internet service. 2. Entire Agreement. This agreement constitutes the entire agreement between the parties with respect to the subject matter; all prior agreements, representations, statements, negotiations and undertakings are superseded hereby.
